Terms of Use & Disclaimer

Effective date: October 19, 2026 | Version: AZBC-2026-10-24-R2

Please read these Terms before enrolling. They address educational use, payment obligations, intellectual property, limitations of liability, and dispute resolution. Sections 19 through 23 affect legal rights and remedies. Rights that cannot lawfully be waived remain in effect.

1. The company and Protected Parties

These Terms of Use (Terms) are an agreement between you and A-Z Bite Club LLC, a Delaware limited liability company (A-Z Bite Club LLC, we, us, or our). A-Z Bite Club is the brand name under which A-Z Bite Club LLC operates. The website at jointhebite.com, associated course areas, assessments, recordings, downloads, communities, and related educational services are collectively the Services. Materials made available through the Services are the Content.

Protected Parties means A-Z Bite Club LLC; its members, managers, officers, employees, and agents; Dr. Ali R. Elyassi, DDS; participating faculty, speakers, authors, contributors, and contractors; and A-Z Bite Club LLC's affiliates and licensors, in each case in connection with providing, operating, or supporting the Services. Affiliate means an entity that controls, is controlled by, or is under common control with A-Z Bite Club LLC.

Your purchase agreement is with A-Z Bite Club LLC alone. No other Protected Party personally guarantees A-Z Bite Club LLC's payment or performance obligations merely by owning, managing, teaching for, working for, or being affiliated with A-Z Bite Club LLC. This provision does not eliminate liability independently imposed by applicable law that cannot lawfully be excluded.

2. Agreement and eligible users

You agree to these Terms by affirmatively accepting them through an enrollment, checkout, account-registration, or other clearly identified acceptance process. If you do not agree, do not enroll in or use the Services. Paid access is conditioned on acceptance before purchase. You must be at least 18 and the age of legal majority where you live, and legally able to enter a binding agreement.

The Services are intended for dental and other healthcare professionals and appropriately enrolled trainees. Some courses have additional qualifications stated in their descriptions. You must accurately represent your credentials and meet those qualifications. A trainee must act only within permitted training and supervision requirements. If purchasing for an organization, you represent that you are authorized to bind it. Each learner must use an individually authorized account and accept the applicable learner terms.

The specific product, access period, price, renewal or installment schedule, and any expressly promised refund rights displayed and accepted at checkout are the Purchase Terms. The Refund and Cancellation Policy forms part of this agreement. Specific Purchase Terms govern the purchased product, price, access period, and billing schedule. For refunds and cancellation, a more favorable express Purchase Term controls over a conflicting general provision. No Purchase Term reduces a nonwaivable right. A variation of another provision of these Terms requires express written agreement by an authorized A-Z Bite Club LLC representative. The Privacy Notice explains data practices; it is not blanket consent to optional marketing or tracking, and this priority rule does not override privacy rights.

3. Professional education and scope

The Services provide general education, professional development, and examination preparation. They do not supply medical or dental care, patient-specific treatment plans, prescribing, clinical supervision, emergency consultation, legal advice, or other individualized professional services. The Content does not replace accredited education, residency training, supervised experience, current clinical standards, or professional judgment.

Purchasing or using the Services solely for the educational purposes described in these Terms does not, by itself, establish a clinician-patient relationship or a supervisory or consulting clinical relationship with A-Z Bite Club LLC or another Protected Party. The Services do not confer licensure, hospital privileges, board certification, competency, or authorization to perform a procedure. Any separately agreed clinical service is outside this educational agreement and requires its own appropriate arrangements. These Terms do not negate a relationship or duty that applicable law recognizes based on actual conduct.

4. Independent clinical responsibilities

You remain responsible for your qualifications, lawful scope of practice, competence, patient assessment, informed consent, treatment selection, referrals, supervision, emergency preparedness, documentation, and compliance with professional requirements. Do not perform procedures beyond your training or competence on the basis of the Content.

Surgery, anesthesia, sedation, drug, device, anatomical, calculation, and patient-management examples are teaching illustrations and may omit details that are essential in an actual case. Before clinical use, independently verify current evidence, manufacturer instructions and labeling, doses, concentrations, routes, contraindications, warnings, interactions, patient-specific factors, and applicable law and professional standards using current authoritative sources. Verify any calculations independently. Do not use a course, checklist, AI-generated output, or discussion as your sole clinical reference.

Content may discuss evolving, disputed, off-label, or investigational practices. Discussion does not establish that a practice is approved, appropriate, or lawful for a particular patient or jurisdiction. Educational questions may receive educational responses, but the Services are not monitored for urgent clinical needs. Use appropriate clinical and emergency resources for urgent situations.

5. Accuracy and changes in knowledge

Clinical evidence, labeling, examination outlines, laws, and professional requirements change. Content may contain errors, omissions, or outdated information. A recording date, reference, faculty credential, or inclusion of a technique does not establish that the information remains current or suits a particular case. You must independently verify material information before relying on it.

We may correct, update, replace, or withdraw Content, including material that presents a safety, rights, or accuracy concern. Report suspected material errors to admin@jointhebite.com without including identifiable patient information or secure exam content. We will evaluate reported concerns and take appropriate action. Content updates do not permit retroactive changes to accepted payment obligations or the elimination of mandatory remedies.

6. Results and testimonials

We do not guarantee examination passage, scores, eligibility, certification, licensure, clinical results, employment, revenue, or any other outcome. Examples, testimonials, and success stories describe individual experiences and are not promises of similar results. Practice scores are educational feedback, not a validated prediction of board-examination performance. Verify official examination and licensing requirements directly with the relevant authority.

7. Independent board preparation and exam integrity

A-Z Bite Club is an independent educational provider. Its board-review products are not affiliated with, endorsed by, sponsored by, or authorized by the American Board of Oral and Maxillofacial Surgery (ABOMS) or the American Association of Oral and Maxillofacial Surgeons (AAOMS). Third-party names and marks belong to their owners and are used descriptively to identify examination or subject matter. References do not imply official status, access to secure examination information, or a guaranteed match to future questions.

Our practice questions, cases, and explanations are intended to be independently created educational materials based on publicly available subject areas. We do not authorize the use of actual, recalled, reconstructed, or otherwise confidential examination materials. You must not solicit, upload, reproduce, reconstruct, discuss, or distribute protected exam questions, answers, scenarios, images, scoring materials, or other secure information, including information obtained through memorization, screenshots, recordings, or violation of an examination agreement. Do not submit another prep provider's protected content without permission.

Report suspected examination-security or copyright concerns to admin@jointhebite.com without reproducing the disputed material in the report. We may restrict or remove the material, suspend involved access, and take other appropriate action. These Terms do not override your obligations to an examining body.

8. Continuing education credit

CE credit is available only for activities expressly identified as eligible in their individual descriptions. The description must identify the responsible CE provider, credit amount and type, required attendance or self-study work, assessments and evaluation requirements, and any eligibility or expiration limits. A certificate documents qualifying completion; it does not certify clinical competence or authorize a procedure.

You are responsible for checking whether your licensing or credentialing body accepts the activity and delivery format for your needs. Any approval applies only as expressly identified for the responsible provider and activity; it is not an endorsement of a technique, product, instructor, or clinical result. An AGD PACE designation identifies recognition of the named program provider; it does not mean that AGD approves an individual course or instructor, grants accreditation or certification, or guarantees acceptance by a licensing or credentialing body. Unless a specific description expressly states otherwise, board-review products do not award CE credit. Submit accurate attendance and identity information and do not claim credit you have not earned.

9. Access and included products

Your purchase provides access only to the products and features identified in the Purchase Terms, for the period disclosed before payment. A one-time payment describes the billing method, not unlimited or perpetual access. An installment schedule describes payment timing, not a separate monthly subscription or the length of access. All-Access includes only the catalog or bundle stated in that offer and does not automatically include every present or future product, live event, or separately priced board-review program.

We may change a subscription catalog as reasonably necessary, subject to the specific purchase promises and the remedies in the Refund and Cancellation Policy if we materially fail to supply the service purchased. We may migrate hosting or make reasonable technical changes while seeking to preserve paid access. We do not promise permanent availability of a particular instructor or platform. An expressly agreed access period or specific benefit is not shortened merely by updating these Terms.

10. Accounts and security

Provide accurate registration and billing information, keep contact details current, and protect your account credentials. Access is for one authorized learner unless a written institutional license provides otherwise. Do not share, sell, transfer, or permit another person to use your credentials, assessment identity, or CE record. Tell us promptly about suspected unauthorized access. You are responsible for your authorized use and for misuse you cause or enable, subject to applicable law.

We may use reasonable account and access controls, investigate suspected credential sharing, and ask for information reasonably needed to verify authorized use. Data handling is described in the Privacy Notice. You are responsible for suitable equipment and connectivity. Contact the published support channel for accessibility needs or technical difficulty; do not bypass security controls.

11. Limited content license

Subject to payment and compliance with this agreement, A-Z Bite Club LLC grants you a limited, personal, nonexclusive, nontransferable license during your authorized access period to use the purchased Content for your own learning and professional development. Permitted downloads may be retained for your personal reference subject to any clearly disclosed file-specific restrictions. This license transfers no copyright or ownership. It can be suspended or terminated as provided in Section 18.

Content is owned by A-Z Bite Club LLC or its licensors. Except as expressly authorized, do not copy, screen-record, record audio or video, capture or redistribute slides or question banks, publish, sell, sublicense, publicly display, or teach from substantial protected portions of the Content. Do not remove ownership notices, evade access controls, scrape the Services, or use bots to collect protected material. Normal technical copies necessary for authorized viewing and rights that applicable law does not permit us to restrict remain unaffected.

Do not upload protected Content into an external AI tool or repository, or use it to train, fine-tune, evaluate, or build an AI model or retrieval system, without written permission. Do not use protected Content to create or supply a competing educational library, course, question bank, or subscription. This restriction does not prohibit lawful clinical application of knowledge you learn or independent creation that does not misuse protected material.

12. Patient data and sensitive information

The Services must not be used to collect, store, or process patient-identifiable information, protected health information, or other sensitive information prohibited by the hosting platform or applicable law. This applies to uploads, comments, questions, messages, assessments, support requests, screen sharing, live sessions, and recordings. Patient consent or authorization alone does not create an exception.

If we expressly invite educational cases, submit only material that is properly de-identified under applicable law and for which you hold all necessary rights and permissions. Removing a name alone may be insufficient. Review image overlays, faces, filenames, metadata, free text, dates, and other identifiers. Do not attempt to identify any patient shown in Content. Do not submit Social Security numbers, full financial credentials, or similarly sensitive information through course or discussion fields.

If prohibited information is submitted or discovered, promptly notify admin@jointhebite.com with the location of the issue, without resending the information. We may restrict access, remove material, preserve information where legally necessary, and take appropriate remedial steps. These Services are not offered for processing protected health information, and these Terms are not a business associate agreement. Nothing here excludes duties or legal status that applicable law imposes based on the actual facts. A separate patient authorization does not authorize use of a prohibited platform.

13. User submissions and discussions

You retain ownership of material you lawfully submit. You represent that you have the rights and permissions needed to submit it and grant the following license, and that it complies with these Terms. You grant A-Z Bite Club LLC a nonexclusive, worldwide, royalty-free license to host, reproduce, display, transmit, format, and reasonably adapt your submission as needed to provide and support the Services, administer the educational activity, maintain permitted records, and make it available to the audience you selected or were clearly told would receive it. Necessary service providers may exercise those rights for those purposes, subject to applicable privacy obligations.

This license does not transfer ownership of your review or authorize advertising use of your name, image, or testimonial without separate permission. Operational copies may remain for applicable recordkeeping, legal, backup, and discussion-integrity purposes, subject to privacy law and the Privacy Notice. Do not share information you expect to remain confidential in a community, class discussion, or recording. Other participants may see and retain it, although they remain responsible for their own conduct.

We may moderate or remove submissions for violations, safety, accuracy, rights, or relevance, and we do not adopt another user's statement merely by hosting it. Do not harass, impersonate, threaten, introduce malware, publish unlawful content, or misuse another person's information. Nothing restricts honest reviews, lawful complaints, reports to regulators or professional bodies, protected whistleblowing, or other nonwaivable rights.

14. Recordings and communications

An event may be recorded only after appropriate notice. Before recording, we will disclose the intended audience and use and obtain consent where required. Do not activate audio, video, or screen sharing without following the stated recording instructions. Where offered, use a nonrecorded participation option if you do not consent. Separate permission is required for identifiable promotional use beyond the disclosed educational purpose. You may not record other participants or faculty without authorization.

Administrative messages about access, transactions, security, or policy changes may be delivered to your account email. Promotional email, texts, tracking, and optional recording uses are governed by the choices and permissions applicable to them, rather than by a blanket acceptance of these Terms.

15. Sponsors and third parties

Some activities may receive commercial support or discuss commercial products. Relevant support and faculty financial relationships will be disclosed with the activity where required. Mentioning a product or linking to a third party does not guarantee its performance, suitability, availability, or regulatory status. You must make independent purchasing and clinical decisions.

Kajabi provides hosting and technology; A-Z Bite Club LLC is the seller of the educational Services. Separate payment providers and external websites may apply their own terms and privacy practices to their services. Nothing in this section transfers A-Z Bite Club LLC's own legal obligations to those providers or expands a third party's authority to use your information.

16. Prices and payment obligations

The Purchase Terms disclose the price in U.S. dollars, taxes or other required charges, access period, and billing schedule before you authorize payment. You authorize only the charges you specifically accept. Subscriptions renew only as disclosed and authorized. Fixed payment plans stop after the agreed number of payments and require the separate applicable purchase and payment disclosures. Payment authorization is not irrevocable and is subject to applicable law.

You must pay valid amounts owed under the accepted Purchase Terms. Contact admin@jointhebite.com about a suspected billing error without delaying any deadline for exercising your legal rights. Nothing prohibits a lawful card dispute, chargeback, payment revocation, or complaint. Fraudulent disputes or use of unauthorized payment credentials may be investigated. No contractual penalty is imposed merely for asserting a good-faith right.

17. Refunds and cancellation

The Refund and Cancellation Policy and any more favorable express Purchase Terms govern refunds, renewals, cancellation, and service-failure remedies. Cancellation of an automatically renewing subscription prevents future renewals and normally leaves access active through the paid period. A fixed installment purchase is governed by its separate accepted payment schedule and any mandatory cancellation or credit rights. Deleting a profile or ceasing to use the Services is not itself a cancellation request; the accessible cancellation routes in the policy remain available.

18. Suspension and termination

We may suspend access or remove content for nonpayment of a valid amount, material breach, unauthorized sharing, security threats, examination-security violations, prohibited patient data, unlawful conduct, or a legal requirement. When practicable and consistent with safety and security, we will explain the issue and allow a reasonable opportunity to correct a remediable breach. Immediate action may be necessary for serious or ongoing harm.

Suspension does not by itself authorize new or additional charges. We will address a good-faith billing dispute without using access controls to defeat statutory dispute rights. A permanent termination for material user breach does not entitle the user to a discretionary refund, but mandatory rights and any applicable service-failure remedy remain. We will stop future subscription renewals when we permanently end the subscription. Valid installment obligations are governed by the separately accepted plan and applicable law; there is no automatic acceleration under these Terms.

If A-Z Bite Club LLC permanently ends paid Services for its own convenience or cannot supply a material purchased benefit, the remedies in the Refund and Cancellation Policy apply. We may preserve records required by law or reasonably needed for a legal claim, subject to the Privacy Notice.

19. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED AS IS AND AS AVAILABLE. THE PROTECTED PARTIES DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, AND DO NOT WARRANT UNINTERRUPTED AVAILABILITY, COMPLETE ACCURACY, OR FREEDOM FROM ERRORS. NO UNAUTHORIZED ORAL STATEMENT CREATES A WARRANTY.

This disclaimer does not cancel an express promise in the accepted Purchase Terms, a required service-failure remedy, or any warranty or legal right that cannot lawfully be excluded. Section 21 applies to this and every other limitation in these Terms.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO PROTECTED PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF THE SERVICES OR THESE TERMS, INCLUDING CONSEQUENTIAL LOSS OF PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. THIS APPLIES TO CONTRACT, TORT INCLUDING ORDINARY NEGLIGENCE, AND OTHER LEGAL THEORIES, SUBJECT TO SECTION 21.

THE COMBINED TOTAL LIABILITY OF ALL PROTECTED PARTIES FOR CLAIMS ARISING OUT OF THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE FEES YOU ACTUALLY PAID A-Z BITE CLUB LLC FOR THE PRODUCT OR PRODUCTS GIVING RISE TO THE CLAIMS. FOR AN AFFECTED SUBSCRIPTION, COUNT ONLY FEES PAID FOR THAT SUBSCRIPTION IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIMS. FOR AN AFFECTED ONE-TIME OR FIXED INSTALLMENT PURCHASE, COUNT THE TOTAL FEES ACTUALLY PAID FOR THAT PURCHASE. THIS IS ONE COMBINED LIMIT FOR ALL PROTECTED PARTIES, NOT A SEPARATE LIMIT FOR EACH DEFENDANT, CLAIM, OR LEGAL THEORY.

These limitations allocate risk in setting the price of educational access. They apply only where lawful and do not reduce an expressly promised or legally required refund. Related claims arising from the same purchase or connected events are considered together when applying the combined limit.

21. Rights and liabilities that remain protected

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, RECKLESSNESS, OR ANY LIABILITY OR REMEDY THAT APPLICABLE LAW DOES NOT PERMIT THE PARTIES TO EXCLUDE OR LIMIT. ANY NONWAIVABLE RIGHTS CONCERNING PERSONAL INJURY, CONSUMER PROTECTION, PRIVACY, CREDIT, OR OTHER SUBJECTS REMAIN IN EFFECT.

A limitation applies only to the extent permitted in the relevant jurisdiction. These Terms do not waive the independent rights of a patient or another person who is not a party to them. A disclaimer does not authorize unlawful professional conduct or create a right to provide knowingly misleading information.

22. Third party claims and indemnification

To the extent permitted by law, you will indemnify and hold harmless the Protected Parties from third-party claims, damages, judgments, lawful settlements, and reasonable attorneys' fees and defense costs to the extent caused by your material breach of these Terms; your unlawful conduct or violation of another person's intellectual-property, privacy, or confidentiality rights; material you submit without necessary rights or permissions; or your negligent or wrongful provision of patient care or professional services.

This obligation does not apply to the extent a claim is caused by the negligence, unlawful conduct, or breach of these Terms of a Protected Party seeking protection. It does not penalize a good-faith complaint, report to a regulator, honest review, or assertion of your own legal rights. It creates no waiver of nonwaivable rights and does not bind third-party patients.

We will provide reasonably prompt notice of an indemnifiable claim. A delay excuses your obligation only to the extent it materially prejudices the defense. At our written request, you will provide a defense using counsel reasonably acceptable to the affected Protected Party. That party may participate at its own expense, except for reasonable separate-counsel costs made necessary by an actual conflict within the indemnified claim. No settlement may admit fault by, impose a nonmonetary obligation on, or fail to release a Protected Party without its written consent, which will not be unreasonably withheld. A-Z Bite Club LLC will not settle at your expense without your consent, which will not be unreasonably withheld for a reasonable covered settlement.

23. Governing law and disputes

Delaware law governs these Terms, without displacing mandatory protections that applicable law gives you. Except where applicable law requires another forum and subject to the exceptions below, a dispute concerning the Services or these Terms must be brought in the state courts in New Castle County, Delaware, or the federal court for the District of Delaware if it has subject-matter jurisdiction. The parties consent to those courts as the exclusive forum for such disputes, subject to the following exceptions.

Either party may bring an eligible individual claim in a small-claims court with jurisdiction. Nothing prevents a complaint to a government agency or professional body, preserves an unavailable court's jurisdiction, or restricts a mandatory right to another forum. You may contact admin@jointhebite.com to seek an informal resolution, but doing so is not a condition to preserving a legal deadline, obtaining urgent relief, or exercising a statutory right. These Terms do not require arbitration or waive a jury or class proceeding where otherwise available.

24. Prospective changes to the agreement

We may update these Terms prospectively. We will give reasonable advance notice of material changes through your account email or a prominent account notice. Material changes to payment obligations, dispute resolution, or limitations on your legal rights require your affirmative agreement before they apply to an existing purchase. Changes do not retroactively govern events or disputes that occurred before their effective date.

A prepaid access period remains subject to the materially applicable terms accepted at purchase unless you separately agree otherwise or a change is required by law. New terms may apply to a renewal or new purchase after the required notice and consent. Routine corrections to Content or reasonable technical features are governed by Sections 5 and 9 and do not alone amend the contract.

25. Third party beneficiaries and survival

Each Protected Party is an intended third-party beneficiary of the provisions addressing educational-use disclaimers, no personal guarantee, intellectual-property restrictions where applicable to its rights, warranty disclaimers, liability limits, indemnification, and dispute resolution, and may enforce those provisions to the extent applicable. No other third-party beneficiary rights are created.

After access ends, accrued valid payment obligations, intellectual-property protections, permitted recordkeeping and submission licenses, disclaimers, lawful liability limits, indemnification, dispute provisions, and terms that by their nature should continue survive, subject to applicable law and their stated limits.

26. General provisions

These Terms, the applicable Purchase Terms, and the incorporated Refund and Cancellation Policy are the agreement concerning the Services, subject to express separate written agreements. No provision excludes liability for fraud or overrides mandatory precontract disclosures. Failure to enforce a provision on one occasion is not a waiver. If a provision is unenforceable, the rest remains effective to the extent lawful; any modification or severance is only as permitted by law.

You may not assign your account or contractual rights without written permission, except as applicable law allows. A-Z Bite Club LLC may assign this agreement in a legitimate merger, reorganization, or business transfer to a successor that assumes its applicable obligations, subject to mandatory notice, consent, and privacy requirements. Assignment does not expand data-use permissions or erase accrued obligations.

Events beyond reasonable control, such as network disruption or natural disaster, may delay performance. We will take reasonable steps to address the disruption. This does not authorize charges for services we cannot lawfully charge for or remove a mandatory refund or the applicable service-failure remedy. The parties are independent; no agency, partnership, clinical-supervision relationship, or employment relationship with a learner is created.
